These Terms of Service ("Terms") govern your access to and use of Certin's website, platform, and related services (collectively, the "Services") provided by Certin ("Certin", "we", "us", or "our").
By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation.
If you do not agree to these Terms, you must not use the Services.
1. Scope of the services
Certin provides a business platform intended for supply chain, logistics, and operations teams to monitor workflows, surface signals, and support operational decision-making. Features and availability may vary based on your subscription or agreement.
2. Professional use
The Services are intended for professional use by businesses and authorised personnel. You must use the Services only in compliance with applicable laws and any policies communicated by Certin or your organisation.
3. Access and accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must promptly notify us of any unauthorised access or security incident you become aware of.
4. Permitted use
You may use the Services only for lawful business purposes and in accordance with these Terms. You must not misuse the Services, attempt to gain unauthorised access, or interfere with the integrity or performance of the Services.
5. Customer data
As between you and Certin, you retain ownership of your data that you submit to the Services ("Customer Data"), subject to the rights granted to Certin in these Terms and any applicable agreement.
Certin does not use Customer Data to train models without your explicit agreement. Where model training or similar processing is contemplated, it will be governed by a separate written arrangement.
6. Data protection
We process personal data and Customer Data in accordance with applicable data protection laws, including where relevant the GDPR, and implement technical and organisational measures designed to protect data against unauthorised access, loss, or misuse.

7. Integrations and third-party services
The Services may connect to third-party systems such as logistics platforms, enterprise software, communication tools, and other services you or your organisation enable. Those services are not operated by Certin and are subject to the third parties' terms and policies.
By enabling integrations, you confirm that you have the right to connect those services and to permit the data flows required for the integration to function.
Certin is not responsible for the performance, availability, or data practices of third-party services, except as expressly set out in a written agreement between you and Certin.
8. Predictive and AI-assisted features
Certain features may provide AI-assisted alerts, predictions, recommendations, or summaries based on data available in the Services and connected systems.
These outputs are intended to support decision-making and are not a substitute for professional judgment, contractual obligations, or operational procedures maintained by your organisation.
You remain responsible for decisions taken in connection with your use of the Services, including any actions you take based on AI-assisted outputs.
9. Acceptable use
You must not use the Services to:
- violate any applicable law or regulation
- infringe the rights of others
- upload or transmit malicious code or harmful content
- attempt to bypass security controls
- misuse the platform in a way that creates operational, legal, or security risk
Certin may investigate suspected misuse and may suspend or restrict access where reasonably necessary to protect the Services, other customers, or third parties.
10. Intellectual property
Certin and its licensors own all rights, title, and interest in and to the Services, including the software, designs, workflows, branding, documentation, and related intellectual property.
These Terms do not transfer ownership of any Certin intellectual property to you.
You may not copy, reproduce, modify, distribute, reverse engineer, decompile, or otherwise attempt to extract source code from the Services, except where such restriction is prohibited by law.
11. Service availability
Certin aims to provide reliable access to the Services, but does not guarantee uninterrupted or error-free operation.
Availability may be affected by maintenance, updates, third-party dependencies, internet failures, or other factors outside our reasonable control.
12. Fees and payment
If your use of the Services is subject to fees, those fees will be governed by the applicable commercial agreement, order form, or pricing terms agreed between you and Certin.
Failure to pay applicable fees may result in suspension or termination of access.
13. Disclaimer
The Services are provided on an "as is" and "as available" basis.
To the fullest extent permitted by law, Certin disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, or reliability.
Certin does not guarantee that all incidents, risks, anomalies, delays, or failures will be detected, predicted, or prevented.
14. Limitation of liability
To the maximum extent permitted by law, Certin shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, business opportunities, or data.
Certin's total liability shall not exceed the amount paid for the Services during the twelve months preceding the event giving rise to the claim, or €100 where no fees have been paid.
Nothing in these Terms excludes or limits liability where it is not permitted to do so under applicable law.
15. Suspension and termination
Certin may suspend or terminate access if you breach these Terms or if use of the Services creates legal, security, or operational risks.
You may stop using the Services at any time.
Upon termination, your right to use the Services ends immediately, subject to any survival provisions in these Terms or your commercial agreement.
16. Governing law
These Terms are governed by the laws of France and the European Union, without regard to conflict-of-law principles.
Disputes are subject to the exclusive jurisdiction of the competent courts of Paris, France.
17. Changes to these terms
Certin may update these Terms from time to time. Updates will be posted on this page with a revised "Last updated" date.
Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
